These Terms of Service ("Terms") govern your access to and use of Qrew HR, including the website at qrewhr.com, the web application at app.qrewhr.com, the mobile apps and any related services (together, the "Service"). The Service is provided by Qrew HR, a product of TheTechHacker, with its office at HITECH City, Hyderabad, Telangana, India ("Qrew HR", "we", "us" or "our").
By creating an account, starting a trial or using the Service, you agree to these Terms. If you are accepting them on behalf of a company or other organisation, you confirm that you have authority to bind that organisation, and "you" and "Customer" refer to that organisation. If you do not agree, do not use the Service.
1. Definitions
- "Customer Data" means all data, including personal data of employees and candidates, that you or your users submit to or generate in the Service.
- "Users" means the individuals you authorise to use the Service under your account, such as HR staff, managers and employees.
- "Order" means the plan you select in the Service, or any order form or quotation agreed in writing between you and us.
2. Accounts
- You must provide accurate and complete information when creating an account and keep it up to date.
- You are responsible for all activity under your account, for keeping login credentials confidential and for the actions of your Users.
- You decide which Users have access and what roles and permissions they hold. You should remove access promptly when a User leaves your organisation.
- You must notify us promptly at support@qrewhr.com if you suspect unauthorised access to your account.
- You must be at least 18 years old and able to form a binding contract under Indian law to create an account.
3. Plans, fees and billing
- Plans: the features, limits and fees of each plan are described on our Pricing page or in your Order. Paid plans are priced per employee, and your fees depend on the plan you choose and the number of employees on your account.
- Payment: fees are payable in Indian Rupees (₹) in advance for each billing period unless your Order says otherwise. You authorise us and our payment service providers to charge the payment method you provide.
- Taxes: fees are exclusive of applicable taxes, including GST, which will be added to your invoice. Please provide correct GST details if you want to claim input tax credit.
- Changes in employee count: if you add employees during a billing period, we may charge for the additional employees on a pro-rated basis or in the next invoice.
- Upgrades and downgrades: you may change plans as described in the Service. Upgrades take effect when made; downgrades usually take effect from the next billing period and may reduce available features or data.
- Late payment: if fees remain unpaid after their due date, we may, after giving you notice, suspend access to paid features until payment is received.
- Refunds: unless required by law or stated in your Order, fees already paid are non-refundable, including for partially used billing periods.
- Price changes: we may change our fees by giving you at least 30 days' notice. New fees apply from your next billing period after the notice period.
4. Free plan and free trial
- Free plan: we offer a Free plan for very small teams, with the features and employee limit described on our Pricing page. We may change or discontinue the Free plan's features with reasonable notice.
- Free trial: you may be offered a 14-day free trial of paid features. No credit card is required to start. At the end of the trial, you may choose a paid plan or move to the Free plan where eligible; otherwise, access to paid features ends.
- The Free plan and trials are provided "as is", without any commitment as to support or availability beyond what we offer generally.
5. Acceptable use
You agree not to, and not to allow any User or third party to:
- use the Service in violation of any applicable law, including labour, data protection and tax laws;
- upload data you do not have the right to process, or that is unlawful, defamatory or infringes anyone's rights;
- upload viruses, malware or any harmful code, or interfere with the integrity or performance of the Service;
- attempt to gain unauthorised access to the Service, other accounts or our systems, or probe, scan or test vulnerabilities except as permitted by our responsible disclosure process on the Security page;
- copy, modify, reverse engineer, decompile or create derivative works of the Service, except where such restriction is prohibited by law;
- resell, sublicense or provide the Service to third parties as a service bureau without our written consent;
- use the Service to build a competing product or to scrape data from it; or
- use automated means to access the Service in a way that places an unreasonable load on our infrastructure.
We may suspend access if we reasonably believe your use breaches this section and poses a risk to the Service, other customers or third parties. Where practical, we will give you notice and an opportunity to fix the issue first.
6. Customer Data
- Ownership: you own your Customer Data. We do not claim any ownership of it.
- Licence to us: you grant us a limited, non-exclusive licence to host, process, transmit and display Customer Data only as needed to provide, secure and support the Service, and as otherwise instructed by you.
- Your responsibilities: you are responsible for the accuracy and legality of Customer Data and for having any notices, consents or other lawful basis required to process employee and candidate data, including under the Digital Personal Data Protection Act, 2023. For Customer Data, you are the Data Fiduciary and we act as your Data Processor.
- Our responsibilities: we process Customer Data in accordance with these Terms and our Privacy Policy, and use reasonable security measures to protect it, as described on our Security page.
- Aggregated data: we may use aggregated and de-identified information about how the Service is used to operate and improve it, provided it does not identify you, your Users or any individual.
- Payroll and compliance outputs: the Service helps you calculate payroll, statutory deductions and reports based on the data and settings you provide. You remain responsible for reviewing those outputs and for your statutory filings and payments.
7. AI features
Some plans include AI features such as the AI Copilot and smart workflows. AI-generated responses are based on the information available in your account, such as your knowledge base and policies, and may not always be accurate or complete. You are responsible for reviewing AI outputs before relying on them for decisions affecting employees.
8. Confidentiality
Each party may receive non-public information from the other that is marked confidential or should reasonably be understood to be confidential ("Confidential Information"). Customer Data is your Confidential Information. The receiving party will use Confidential Information only to perform under these Terms, protect it with at least reasonable care, and disclose it only to employees, contractors and advisers who need to know it and are bound by similar obligations. These obligations do not apply to information that is public through no fault of the receiving party, was already lawfully known to it, is independently developed, or is lawfully received from a third party. A party may disclose Confidential Information if required by law, after giving the other party notice where legally permitted.
9. Availability and support
- We aim to keep the Service available and working reliably, but we do not guarantee that it will be uninterrupted or error-free.
- We may carry out planned maintenance, and will try to schedule it to minimise disruption and give advance notice where practical.
- Support is available by email at support@qrewhr.com and through our Help Center during business hours, Monday to Friday, 9:30 AM to 6:00 PM IST. Higher plans may include additional onboarding support as described on our Pricing page or in your Order.
- We may update and improve the Service from time to time. We will not make changes that materially reduce the core functionality of a paid plan during a billing period you have paid for.
10. Intellectual property
We and our licensors own all rights in the Service, including software, design, content and trademarks. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right for your Users to use the Service for your internal business purposes during your subscription. If you send us feedback or suggestions, we may use them without obligation to you.
11. Term, termination and data export
- Term: these Terms apply from when you first use the Service until your account is closed.
- Renewal: paid subscriptions renew automatically for the same billing period unless you cancel before the renewal date or your Order says otherwise.
- Cancellation by you: you may cancel at any time from your account settings or by writing to us. Cancellation takes effect at the end of the current billing period.
- Termination by us: we may suspend or terminate your account if you materially breach these Terms and do not fix the breach within 15 days of notice, if fees remain unpaid, or immediately if required by law or to prevent serious harm to the Service or others.
- Data export: you can export your Customer Data at any time during your subscription. After termination, you will have 30 days to request an export, after which we may delete Customer Data in line with our Privacy Policy, except where we must retain it by law.
- Survival: sections on fees owed, Customer Data, confidentiality, intellectual property, disclaimers, limitation of liability, indemnity and governing law survive termination.
12. Disclaimer of warranties
Except as expressly stated in these Terms, the Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. The Service is a tool to help you manage HR, payroll and compliance processes; it does not provide legal, tax or financial advice, and you should consult qualified professionals for such advice.
13. Limitation of liability
To the maximum extent permitted by law:
- Neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data, even if advised of their possibility.
- Each party's total liability arising out of or relating to these Terms will not exceed the fees paid or payable by you to us for the Service in the 12 months before the event giving rise to the claim.
- These limits do not apply to your payment obligations, a party's indemnity obligations, or liability that cannot be limited by law.
14. Indemnity
You will indemnify and hold harmless Qrew HR and TheTechHacker from any third-party claims, losses and expenses (including reasonable legal fees) arising from your Customer Data, your breach of these Terms or applicable law, or your Users' use of the Service in breach of these Terms. We will indemnify you from third-party claims that the Service, as provided by us, infringes that third party's intellectual property rights in India, provided you notify us promptly, give us control of the defence and cooperate reasonably.
15. Governing law and disputes
These Terms are governed by the laws of India. Subject to any mandatory law, the courts at Hyderabad, Telangana, will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service. Before going to court, both parties agree to try in good faith to resolve the dispute informally by contacting each other in writing.
16. General
- Entire agreement: these Terms, together with any Order and the Privacy Policy, form the entire agreement between us about the Service. If an Order conflicts with these Terms, the Order prevails for that subject.
- Assignment: you may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.
- Force majeure: neither party is liable for delays or failures caused by events beyond its reasonable control.
- Severability and waiver: if any provision is found unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver.
- Notices: we may send notices to the email address on your account. You may send notices to hello@qrewhr.com.
17. Changes to these Terms
We may update these Terms from time to time. We will update the "Last updated" date above and, for material changes, notify you by email or through the Service at least 30 days before they take effect. If you continue to use the Service after changes take effect, you accept the updated Terms. If you do not agree, you may cancel your subscription before they take effect.
